Antitrust/Competition
Antitrust is one of the most significant and critical components of business transactions since competition authorities have far-reaching powers over businesses. Our team has extensive experience in antitrust law, one of our Partners, Tolga Karatas being listed among the top 3 lawyers in Turkey in antitrust law by Forbes in May 2009. We provide advice to clients in a wide range of antitrust matters including business agreements, mergers and acquisitions, privatizations, commercial arrangements from a competition compliance perspective to making applications before governmental authorities and providing guidance on the strategic use of competition rules and on defence against investigation by competition authorities and antitrust litigation.
Corporate Law
Corporate law entails a wide range of issues arising from the day-to-day operations of companies. We provide assistance to executives and in-house lawyers on a complete range of the Turkish corporate legal framework with respect to their regular operations including incorporation, representation, decision-making, commercial agreements, corporate governance, capital transactions and regulatory issues.
Dispute Resolution
It is our mission to assess the exposures of our clients before any disputes arise, prepare them for any potential risks and strengthen their position with the best available measures to avoid disputes. Nevertheless, despite all efforts, sometimes disputes do arise. With a view to best protect the rights and interests of our clients we take a tailor-made strategic approach to each dispute. Our dispute resolution practise covers all types of dispute settlement from negotiation process to legal settlement, litigation and arbitration as well as enforcement proceedings and regulatory investigations.
Employment
Employment issues are a major concern to both individuals and businesses and require adoption of practical approach by legal practitioners. We provide solution oriented assistance in relation to all aspects of individual and collective employment law, including but not limited to drafting employment, confidentiality and non-competition agreements, termination of employment, health and safety regulations, internal regulations and policies, employee benefit and pension schemes, workplace transfers and transfer of individual employment contracts. In today's business environment, intellectual property rights constitute one of the primary assets of both domestic and multinational companies and require diligence in terms of protection. Our practice covers all aspects of intellectual property from registration process to support regarding infringements and where necessary litigation with respect to trademarks, copyrights, patents, designs, inventions, domain names, licensing, confidential information, know-how and all other intangible assets coming within the realm of intellectual property.
Capital Markets
Turkish Capital Market Regime is in a constant change partly due to the EU harmonization efforts and partly due to the necessity to keep up with the global capital markets practices. Besides providing our clients with regular assistance on the changes in the capital markets legislation, we render legal consultancy in relation to IPOs, mandatory tender offers, private placements, public disclosures, advising on merger and acquisition deals involving a Turkish capital market institution, implementation of employee share plans and stock options, structured derivative products, onshore and offshore issuance of capital market instruments, Eurobonds, ISDA and ICMA documentation and securitization of a wide variety of assets, including consumer loans, commercial loans, future flow credit card and export receivables and trade receivables mostly originated from banks in Turkey.
